Hardware
1. Ownership of Hardware
1.1 Any hardware provided by Intercell NZ (“Company”, “we”, “us”, “our”) to a customer (“Customer”, “you”, “your”) on loan or under a payment plan remains the property of Intercell NZ until fully paid for.
1.2 You agree that you will not sell, lease, or otherwise transfer ownership of the hardware while it remains the property of Intercell NZ.
2. Hardware Return and Charges
2.1 If hardware is provided on loan, you must return it upon termination of service or as otherwise requested by Intercell NZ.
2.2 If you fail to return the hardware within the requested timeframe, we reserve the right to issue an invoice for the full replacement cost of the hardware.
2.3 If the hardware is returned damaged or non-functional beyond reasonable wear and tear, we will issue an invoice for the cost of repair or replacement.
3. Automatic Payment and Billing
3.1 If any outstanding payments are due for loaned or unpaid hardware, Intercell NZ reserves the right to automatically charge the credit card on file.
3.2 If no credit card is on file, an invoice will be sent, and payment must be made within the specified timeframe.
4. Remote Locking and Service Suspension
4.1 If payment for loaned or unpaid hardware is not received within the due date, Intercell NZ reserves the right to remotely disable or lock the hardware until payment is made in full.
4.2 We are not liable for any disruptions or losses resulting from the remote locking of hardware due to non-payment.
5. Customer Responsibilities
5.1 You are responsible for keeping the hardware in good condition and using it as intended.
5.2 You must not attempt to tamper with, modify, or bypass any security or tracking measures implemented by Intercell NZ on the hardware.
6. Governing Law
6.1 These Terms are governed by the laws of New Zealand. Any disputes shall be resolved in New Zealand courts.

Plans & Subscriptions
1. Introduction

1.2 By using our Service, you agree to comply with and be bound by these Terms. If you do not agree, you must not use the Service.
2. Service Provision
2.1 We will use reasonable efforts to provide the Service as described but do not guarantee uninterrupted, fault-free, or error-free service.
2.2 The quality and reliability of the Service depend on factors such as internet connectivity, bandwidth availability, power supply, and third-party networks.
2.3 We may impose usage restrictions, data limitations, or network traffic management measures where necessary to ensure fair use and network stability.
3. Service Interruptions and Limitations
3.1 The Service may be subject to unforeseen disconnections, slowdowns, or service degradation due to maintenance, network congestion, system failures, or force majeure events. We are not liable for any loss arising from such interruptions.
3.2 Scheduled maintenance may cause temporary outages, and we will endeavor to notify you in advance where practicable.
3.3 The Service relies on internet connectivity, and we are not responsible for disruptions caused by your ISP, power outages, or other external factors.
3.4 Emergency calling (111) may not function during an internet or power outage, and you must have alternative means of contacting emergency services.

3.1 The Service may be subject to unforeseen disconnections, slowdowns, or service degradation due to maintenance, network congestion, system failures, or force majeure events. We are not liable for any loss arising from such interruptions.
